1. Agreement to These Terms

By downloading, installing, or using the Peroya mobile application or visiting peroya.app, you agree to these Terms of Use. These Terms form a legally binding agreement between you and Promenade LLC, a limited liability company organized under the laws of Puerto Rico.

2. What Peroya Is and What It Is Not

Peroya is a patient advocacy application. We help you access health records you are legally entitled to, understand what those records mean, and navigate the healthcare system with confidence, including exercising your rights to appeal coverage decisions and file grievances.

Peroya is not a health plan, healthcare provider, law firm, medical device, or substitute for the professional judgment of your physician or attorney.

3. Eligibility

• You must be a US resident or resident of a US territory.
• You must be at least 18 years old, or a minor using Peroya under a parent or legal guardian who has accepted these Terms on your behalf, or an emancipated minor who has completed Peroya's attestation process.
• You must have a valid health plan membership or be a duly authorized caregiver or legal guardian of a plan member.
• You must have legal authority to authorize Peroya to act on behalf of any account you connect.

4. Language Services

Peroya provides Spanish and English as primary languages. These translations are human-curated and professionally reviewed. The Spanish and English versions of these Terms have been reviewed by qualified personnel. For patients who prefer other languages, Peroya offers AI-assisted translation.

When you receive content, including health summaries, appeal letter drafts, or advocacy documents, in an AI-assisted language, a disclosure will be displayed indicating that the translation is AI-generated. You acknowledge that AI-assisted translations may contain errors, and that you should contact us at [email protected] if anything is unclear. Peroya will make reasonable efforts to provide a professionally reviewed translation upon request.

AI-assisted translation is provided as a service to increase accessibility. It does not affect any of your rights under these Terms or under HIPAA.

5. Connecting Your Health Plan and Authorizing Peroya to Act on Your Behalf

When you connect a health plan to Peroya, you authorize us to retrieve your health records from that plan on your behalf, exercising your federal right to direct your health data to an app of your choosing. When you ask Peroya to contact your health plan, to request data access, submit an appeal, or file a grievance, Peroya acts as your representative under your explicit recorded authorization. That authorization is logged with a timestamp and accessible to you at all times. You may revoke any authorization at any time.

6. Appeal, Grievance, and Complaint Assistance

Peroya provides tools to help you exercise the member rights your health plan and federal law provide, including the right to appeal a prior authorization denial, file a grievance with your plan, and file a complaint with CMS. These tools help you prepare documents and navigate processes that already exist within the healthcare system. All documents are reviewed and authorized by you before submission.

7. AI-Generated Content

Peroya uses artificial intelligence for plain-language health summaries, appeal letter drafts, prior authorization guidance, and translation into languages beyond Spanish and English. You acknowledge that:

• AI-generated content is a starting point for your own review, not a final professional opinion.
• Plain-language summaries are not a medical diagnosis or treatment recommendation.
• Draft appeal letters are not legal advice. Consult a licensed attorney for legal advice about your specific situation.
• AI-assisted translations may contain errors. Contact us at [email protected] if anything is unclear.
• You review and authorize all AI-generated documents before they are used or sent.

8. Caregiver and Family Access

Peroya allows patients to authorize caregivers, parents, and legal guardians to access their account. Authorized users must independently agree to these Terms.

If you are using Peroya as an authorized representative of another person, you represent that you have legal authority to access that person's health information, you agree to use their health information only for their benefit, and you agree not to disclose their protected health information to unauthorized parties.

9. Prohibited Uses

You agree not to:

• Access health records you are not authorized to access
• Attempt to bypass Peroya's security or authentication systems
• Use Peroya in any way that violates HIPAA or applicable law
• Reverse engineer or attempt to extract Peroya's source code
• Resell or commercially exploit Peroya without a written license from Promenade LLC

10. Subscriptions and Fees

Peroya's core features are available at no cost. Plus and Premium non AI-powered and AI-powered features require a paid subscription at the rates shown in the app at the time of purchase. Subscriptions are processed through Apple In-App Purchase and are subject to Apple's payment terms. You may cancel at any time through your Apple ID account settings.

These Terms are governed by the laws of the Commonwealth of Puerto Rico and applicable federal law.

14. Changes to These Terms

We will notify you of material changes by email and at peroya.app/terms with a new effective date. Continued use of Peroya after the effective date constitutes acceptance of the updated Terms.
